Dow flexible packaging adhesives business acquires by Arkema

On December 2, 2024, Arkema has completed the acquisition of Dow's flexible packaging composite adhesive business, one of the world's leading adhesive producers for the flexible packaging market. The acquisition is expected to significantly expand Arkema's flexible packaging solutions portfolio, making it a major player in this attractive market.

With annual sales of approximately $250 million, Dow's flexible packaging composite adhesive business provides a wide range of high-quality solutions for food and medical applications. In the above areas, flexible packaging is the best solution in terms of efficiency, and also provides high-quality products for industrial composites (window films, photovoltaic backsheets, etc.). Dow's composite adhesive business has cutting-edge technology, including well-known brands such as ADCOTE™ and MOR-FREE™, and five advanced production bases in Italy, the United States and Mexico. The acquisition will enable Bostik to perfectly complement its existing commercial presence, product offerings and breadth of flexible packaging technology. In addition to benefiting from potential growth and market recovery, Arkema is committed to quickly seize new growth opportunities. The acquisition is expected to achieve high levels of cost and development synergies, and will bring approximately $30 million in EBITDA after 5 years.

The acquisition is based on an enterprise value of $150 million and will trigger implementation costs or capital expenditures of approximately $50 million over the next three years.
